Online booking terms (businesses and consumers)

These are some terms and conditions we need to make sure you’re happy with before you book a training course with us. Please read them carefully. Whilst there won’t be a test at the end, we will ask you to agree to them before finalising your booking.

Just so we’re clear, within these booking terms “we” or “us” or “our” means us, the SeaSystems (UK) Ltd. team; and “you” and “your” means you, our customer or potential customer who is booking a place on one of our paid for training or e-learning courses.

The booking process

We advertise training and e-learning courses on our website. In legal terms this is known as an “invitation to treat”; when you click on ‘book now’ this becomes a contractual offer between us and you. We won’t have a proper contract until your order has been accepted and completed. The process you’ll go through to get to this point is as follows:

1. Select the relevant SeaSystems training or e-learning course, and then proceed to the checkout.

2. If you are a new customer, you must then create an account with us and log in; if you are an existing customer, you must enter your login details.

3. Once you are logged in, you must confirm your order and your consent to these booking terms and conditions.

4. You will then be asked to either enter your credit or debit card details to pay for your booking, or select to pay by cheque or BACS. Please note that if you want to pay by BACS or cheque your classroom place won’t be secured until full payment has been received. You will also be charged an additional £25 admin charge for using this service when booking a paid-for course.

5. You will have to pay sales taxes (VAT, TVA etc.) at the applicable rate depending on the product and/or customer type you are.

6. Before you place your final order, you will have the opportunity to check that it is correct and amend any errors before completing payment.

7. After you have completed the booking process, we will send you a confirmation of your booking. If you have selected to pay by BACS or cheque this will include an invoice which will need to be actioned before you can attend the training date, or access the e-learning materials.

Please note that we don’t keep a copy of these online booking terms specifically in relation to your booking; they apply to everyone. We may also update this version of the online booking terms on the website and unfortunately, we can’t guarantee that the version you have agreed to will remain accessible. We therefore recommend that you download, print and retain a copy of these online booking terms for your records. It is also worth noting that the only language in which we provide these online booking terms is English.

The SeaSystems training courses are provided by the SeaSystems UK team. Prices for these are quoted on our website, but do not include value added taxes (although this is outlined at the end of booking process). Please note that it is always possible that some of the prices on the website may appear incorrectly. We promise that we will always verify prices as part of the online booking procedure so that the correct price is stated when you pay.

Payment must be made in full before your booking can be finally confirmed. If you have an applicable discount code this must be entered at the time of booking, as the discount cannot be applied retrospectively. Payment must be made via Stripe on our website with a credit or debit card, via BACS or a cheque. BACS and cheque payments must be received before the course date, or before you can access e-learning materials. We may cancel the contract between us if payment is not received in full in cleared funds before the course date. Please note that if you do not provide accurate details (including type of card and number) or if your credit card company does not authorise payment, your application will be deemed void. SeaSystems will not accept any liability for costs incurred as a result of applications deemed void in this manner. Prices can change at any time, but changes will not affect contracts that already exist.

Where we have a valid reason to do so, we reserve the right to change a SeaSystems classroom based course date and/or venue or cancel, but will give reasonable notice of the change to you. If we do need to cancel a session where a place has been paid for, we will issue a full refund.

eLearning courses

After booking onto an eLearning course you will be given access to the SeaSystems e-learning materials you have paid for. For eLearning only, you will be given a licence period of 90 days when purchasing individual units, and 365 days when purchasing an annual licence (all 12 units). For classroom training courses, you will be given access until 90 days after the course start date. By using the SeaSystems e-learning Portal you agree to these terms and conditions. If you do not agree to these terms, you cannot use the site.

Whilst we make every effort to keep changes to the site to a minimum, we reserve the right to make any amendments to the terms and conditions at any time to reflect changes affecting our business, including but not limited to, changes in technology, payment methods and legal and regulatory requirements. By continuing to use this site you agree to accept any changes made to the terms and conditions.

You have the right to cancel your place under these terms

Without prejudice to the statutory right of cancellation you can cancel your place on a SeaSystems training course booking, but only under these terms:

1. At least 12 working days before the SeaSystems training course is due to begin (in which case you will be entitled to a full refund of the amount paid).

2. If you cancel your attendance at a SeaSystems training course booking 12 or less working days before a SeaSystems training course is due to begin, or if you fail to attend a SeaSystems training course, no refund will be given.

In order to cancel a contract on this basis, you must inform us by emailing one of the team and notice of this cancellation must be received by us on or before the relevant date set out above.

Please note that once payment has been made, your classroom place is non-transferrable. This means that if for some reason you cannot attend and are not entitled to a refund, you cannot put the money towards anything else with SeaSystems, including other training courses.

If you are entitled to a refund

If you cancel a contract and are entitled to a refund, we will usually refund using the same method originally used by you to pay for your purchase. We will process the refund as soon as possible and at the most within 30 days of the day we received your valid notice of cancellation.

The really legal stuff…

Limitations and exclusions of inability

Nothing in these online booking terms will limit or exclude the liability of a party for death or personal injury resulting from negligence; limit or exclude the liability of a party for fraud or fraudulent misrepresentation by that party; limit any liability of a party in any way that is not permitted under applicable law; or exclude any liability of a party that may not be excluded under applicable law.

If you are a consumer, any statutory rights which you have, which cannot be excluded or limited, will not be affected by the online booking terms.

The limitations and exclusions of liability set out in this section, and elsewhere in the online booking terms are subject to the preceding paragraph and govern all liabilities arising under the online booking terms or in relation to the subject matter of the online booking terms, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty.

We will not be liable to you in respect of any losses arising out of a force majeure event.

We will not be liable to you in respect of any business losses, such as loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill.

If you are a business customer, we will not be liable to you in respect of any loss or corruption of any data, database or software.

If you are a business customer, we will not be liable to you in respect of any special, indirect or consequential loss or damage.

Warranties

We warrant (or in less legal terms, promise) that the services provided under these online booking terms will be provided with reasonable skill and care. You warrant (or promise) and represent to us that:

1. You are legally capable of entering into binding contracts, and you have full authority, power and capacity to agree to these online booking terms.

2. The information provided in or in connection with your booking request is accurate and complete.

3. You will be able to attend the SeaSystems classroom-based training course at the time and in the place advertised.

4. You meet the pre-requisites and qualification criteria for attending the SeaSystems training or e-learning course set out on our website.

5. You are at least 18 years of age.

Force majeure

A force majeure event means any event which is beyond our reasonable control. Where a force majeure event gives rise to a failure or delay in us performing our obligations under these terms and conditions, those obligations will be suspended for the duration of the force majeure event.

Ownership and intellectual property rights 

All SeaSystems training materials, whether on the website or at a training day, are owned by SeaSystems. Unless otherwise stated, all intellectual property rights in all materials available from SeaSystems, including the design, graphics and text of all printed and other materials and the audio of any webinars and podcasts, are owned by SeaSystems. When you are given access to the SeaSystems e-learning Portal, you are granted a non-exclusive, non-transferable, revocable licence to use the e-learning materials. No e-learning content may be copied, reproduced, uploaded, posted, displayed or linked to in any way, in whole or in part, without SeaSystems prior permission. Any such use is strictly prohibited and will constitute an infringement of SeaSystems’ intellectual property rights.

General terms

We will treat all your personal information that we collect in connection with your order in accordance with the terms of our GDPR privacy policy as outlined on our website.

Contracts under these online booking terms may only be varied by an instrument in writing signed by both you and us. We may revise these online booking terms from time-to-time, but such revisions will not affect the terms of any contracts which we have entered into with you.

If any provision of these online booking terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect, and such invalid or unenforceable provisions or portion thereof will be deemed omitted.

These online booking terms will be governed by and construed in accordance with English law, and the courts of England and Wales will have exclusive jurisdiction to adjudicate any dispute arising under or in relation to these online booking terms.
